Terms of service.
Last updated: September 1, 2026
These Website Terms of Service (“Terms”) govern your access to and use of the website located at arqaone.com and any pages, content, materials, or features made available through that website (collectively, the “Website”).
The Website is operated by ArqaOne LLC, a Minnesota limited liability company (“ArqaOne,” “we,” “our,” or “us”).
By accessing or using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree with these Terms, you should not use the Website.
These Terms apply to the Website itself. They do not replace or govern separate consulting agreements, statements of work, software agreements, partnership agreements, nondisclosure agreements, business associate agreements, or other contracts entered into between ArqaOne and its clients, partners, vendors, or other parties.
1. About ArqaOne
ArqaOne is an independent business and technology firm whose work may include advisory services, business and operational analysis, research and intelligence, organizational and people systems, data analysis and business intelligence, systems integration, automation, software development, technology implementation, and the development or participation in independent business ventures.
Descriptions of ArqaOne's capabilities on the Website are intended to explain the general nature of work ArqaOne may undertake. They do not constitute a promise to provide any particular service, accept any particular engagement, achieve a particular result, or undertake work in any particular jurisdiction.
The availability, scope, price, schedule, deliverables, responsibilities, and other conditions applicable to professional services will be established separately between ArqaOne and the applicable client or counterparty.
2. Website Only; Separate Professional Engagements
These Terms govern access to and use of the Website.
Professional services provided by ArqaOne are governed by the applicable proposal, statement of work, master services agreement, consulting agreement, development agreement, or other written agreement between ArqaOne and the client.
If there is a conflict between these Terms and a separately executed agreement governing an engagement, the separately executed agreement controls with respect to that engagement.
Nothing on the Website, including a description of services, capabilities, methodologies, timelines, prior work, technologies, potential deliverables, or anticipated outcomes, constitutes a binding offer by ArqaOne.
Contacting ArqaOne, submitting an inquiry, discussing a project, requesting information, participating in a discovery conversation, or receiving preliminary information from ArqaOne does not by itself create a consulting, professional, fiduciary, partnership, joint venture, employment, attorney-client, or other contractual relationship.
An engagement becomes binding only when ArqaOne and the applicable counterparty enter into an agreement or otherwise expressly agree in writing to binding terms.
3. Separate Products and Ventures
ArqaOne may create, own, invest in, participate in, incubate, or otherwise be associated with separate products, companies, platforms, or ventures.
References to those ventures on the Website are provided for informational purposes.
Unless expressly stated otherwise, a product or venture that maintains its own website, privacy notice, terms of service, subscription agreement, user agreement, or other contractual terms is governed by those separate terms.
For example, CaseLogs operates as a separate product with its own product website and legal terms. Use of CaseLogs is not governed by these Website Terms.
The same principle applies to future products or ventures developed, operated, or participated in by ArqaOne.
A link to, description of, investment in, ownership of, or association with another product or venture does not incorporate that product's services into these Terms.
4. Informational Purpose
The Website and its contents are provided primarily for general informational, educational, research, and business development purposes.
Website content may discuss business operations, human resources, organizational practices, technology, software, artificial intelligence, data, healthcare operations, social services, regulatory environments, compliance considerations, financial or operational performance, or other professional topics.
Website content should not be treated as individualized professional advice.
Information that may be appropriate for one organization, industry, jurisdiction, workforce, system, or operational environment may not be appropriate for another.
You are responsible for evaluating information on the Website and obtaining qualified professional advice where appropriate before making legal, regulatory, financial, employment, compliance, healthcare, security, investment, or other material decisions.
5. No Legal, Accounting, Financial, or Medical Advice
ArqaOne is not a law firm, accounting firm, medical provider, or regulated investment adviser merely by virtue of operating this Website.
Nothing published on the Website creates an attorney-client relationship or should be interpreted as legal advice.
Discussions of laws, regulations, employment practices, HR compliance, healthcare requirements, government programs, data privacy requirements, security frameworks, or regulatory obligations are general in nature unless a separate professional engagement expressly provides otherwise.
Organizations should consult appropriate legal counsel, accountants, healthcare professionals, security professionals, or other qualified advisers when circumstances require specialized professional advice.
This provision does not limit the scope of professional consulting services that ArqaOne may separately agree to provide under a written engagement.
6. Research, Analysis, and Published Insights
ArqaOne may publish research briefs, market notes, field observations, analyses, benchmarking, commentary, case studies, operational findings, data visualizations, models, estimates, or other research and intelligence materials.
Such materials may incorporate information obtained from public sources, third-party databases, interviews, client or industry experience, surveys, estimates, models, statistical analysis, or other sources believed to be useful or reliable.
ArqaOne makes reasonable efforts to produce thoughtful and accurate work but does not represent that every research publication or Website statement is complete, error-free, current, or suitable for every purpose.
Data may change after publication. Third-party sources may contain errors. Methodologies may have limitations. Estimates and models necessarily depend on assumptions.
Unless expressly stated otherwise:
- published research reflects information reasonably available at the time of publication;
- ArqaOne has no obligation to continuously update previously published material;
- rankings, benchmarks, projections, estimates, and comparisons should be interpreted in the context of their stated methodology;
- correlations or observed patterns should not automatically be interpreted as causation; and
- readers should independently verify information before relying on it for material business, investment, regulatory, or operational decisions.
ArqaOne may revise, correct, expand, withdraw, or update published research at any time.
7. Illustrations, Demonstrations, and Representative Materials
The Website may display example dashboards, interfaces, workflows, diagnostics, reports, datasets, operational findings, case-management records, financial figures, performance metrics, or other representations intended to illustrate the type of work ArqaOne may perform.
Unless expressly identified as actual client data or results, these materials should be treated as illustrative or representative examples.
Example organizations, records, client identifiers, operational metrics, financial figures, names, workflows, or scenarios may be fictionalized, anonymized, modified, aggregated, or created for demonstration purposes.
Illustrative materials do not constitute a representation that a visitor or future client will achieve the same or similar results.
8. No Guarantee of Results
Business, technology, data, software, organizational, and operational projects are affected by many factors outside ArqaOne's control.
Past results, case studies, illustrations, estimated benefits, expected efficiencies, research findings, project timelines, or descriptions of potential outcomes do not guarantee future performance.
Unless expressly guaranteed in a separate written agreement, ArqaOne does not guarantee any particular financial return, cost savings, productivity improvement, compliance outcome, operational improvement, implementation timeline, system performance, regulatory approval, funding result, or other business outcome based on information presented on the Website.
9. Regulatory and Compliance References
The Website may refer to laws, regulations, industry standards, government programs, compliance frameworks, security practices, healthcare requirements, employment requirements, or technical standards.
Such references are informational unless expressly incorporated into a separate agreement.
A statement that ArqaOne designs, evaluates, develops, or implements systems with a particular law, regulation, security standard, or compliance requirement in mind does not by itself constitute a certification, warranty, legal opinion, or guarantee of compliance.
Compliance depends on the specific technology, configuration, policies, personnel, operational practices, contractual relationships, legal requirements, and circumstances of the organization using the relevant system.
Any contractual warranty or commitment concerning regulatory compliance must be stated in the applicable agreement governing that engagement.
10. Third-Party Technologies and Platforms
ArqaOne may discuss, recommend, implement, integrate with, or otherwise reference third-party software, services, platforms, infrastructure providers, artificial intelligence systems, data tools, HR systems, payroll providers, cloud services, or other technologies.
References to a third-party product or company do not imply ownership, sponsorship, endorsement, partnership, or affiliation unless expressly stated.
Third-party products are governed by their respective providers' terms, privacy policies, licensing arrangements, availability, pricing, and technical limitations.
ArqaOne does not control and is not responsible for changes made by third-party providers, including changes to functionality, APIs, pricing, licensing, security practices, availability, product roadmaps, or terms of service.
All third-party trademarks and product names belong to their respective owners.
11. Artificial Intelligence and Automated Technologies
ArqaOne's work and publications may discuss or utilize artificial intelligence, machine learning, automation, statistical models, or other computational technologies.
Outputs produced using these technologies may contain inaccuracies, incomplete information, unexpected results, or other limitations.
References to artificial intelligence or automated systems on the Website do not constitute a representation that such systems can operate without appropriate human review.
Organizations remain responsible for evaluating whether a particular technology is appropriate for their legal, operational, security, employment, privacy, and regulatory environment.
Any specific responsibilities relating to artificial intelligence systems implemented by ArqaOne for a client will be governed by the applicable engagement agreement.
12. Intellectual Property
Unless otherwise stated, the Website and its contents are owned by, licensed to, or used with permission by ArqaOne.
This includes, without limitation: the ArqaOne name and branding; website design; text; research; reports; graphics; diagrams; illustrations; data visualizations; methodologies; frameworks; written materials; software demonstrations; photographs; videos; interfaces; code displayed on the Website; and the organization and presentation of Website content.
These materials may be protected by copyright, trademark, trade secret, and other intellectual property laws.
Subject to these Terms, ArqaOne grants you a limited, revocable, nonexclusive, nontransferable right to access and view publicly available Website content for lawful personal, professional, informational, or internal business purposes.
You may link to publicly available pages on the Website and may quote reasonable excerpts of publicly available research or written material for legitimate commentary, scholarship, journalism, or business discussion, provided that you clearly attribute the material to ArqaOne and do not misrepresent its meaning.
Except as permitted by law or expressly authorized by ArqaOne, you may not reproduce, republish, sell, commercially distribute, license, create substantial derivative works from, or otherwise exploit Website content.
13. Automated Collection and Use of Website Content
Except for ordinary browser access, generally accepted search-engine indexing, accessibility tools, or other uses expressly permitted by ArqaOne, you may not use automated systems to systematically extract or reproduce substantial portions of the Website.
Without prior written authorization, you may not use bots, spiders, scrapers, crawlers, automated extraction tools, or similar technologies to:
- collect substantial portions of Website content;
- create or populate a competing database, research service, commercial product, or content repository;
- circumvent technical restrictions;
- burden or interfere with Website infrastructure; or
- systematically use ArqaOne's proprietary research or content to train, fine-tune, benchmark, or develop a commercial artificial intelligence or machine-learning model.
Nothing in this section restricts rights that cannot lawfully be restricted.
14. Acceptable Use
You agree not to use the Website in a manner that is unlawful, fraudulent, abusive, harmful, or disruptive.
You may not attempt to:
- gain unauthorized access to the Website or associated systems;
- circumvent security or access controls;
- introduce malware, malicious code, or harmful technology;
- impersonate ArqaOne or another person;
- misrepresent an affiliation with ArqaOne;
- use the Website to violate another person's intellectual property, privacy, or other rights;
- interfere with the Website's operation or availability;
- probe or test systems for vulnerabilities without authorization; or
- use ArqaOne's name, content, research, or branding in a way that falsely suggests endorsement, sponsorship, certification, or affiliation.
ArqaOne may restrict or block access when reasonably necessary to protect the Website, its systems, its intellectual property, or other users.
15. Business Inquiries and Project Submissions
The Website may invite visitors to contact ArqaOne regarding advisory projects, research, analysis, technology development, software projects, partnerships, ventures, media inquiries, or other matters.
Submitting an inquiry does not obligate ArqaOne to evaluate, accept, respond to, fund, develop, invest in, or participate in the proposed matter.
You represent that you have the authority to submit information that you provide to ArqaOne.
You retain ownership of materials and information you submit, subject to any rights held by others.
By voluntarily submitting materials for evaluation, you grant ArqaOne a limited right to review, internally circulate as reasonably necessary, evaluate, and respond to those materials for the purpose for which they were submitted.
No broader ownership interest is transferred to ArqaOne merely because an inquiry or proposal is submitted.
16. Confidential and Sensitive Information
General Website contact channels are not intended to receive confidential, privileged, highly sensitive, or regulated information.
Unless ArqaOne has expressly agreed to an appropriate confidentiality arrangement or provided an approved secure method of transmission, you should not send information such as:
- Social Security numbers;
- financial account credentials;
- passwords or access credentials;
- protected health information;
- medical records;
- employee personnel files;
- client case records;
- government identification documents;
- trade secrets;
- confidential source code;
- regulated personal information; or
- other information requiring heightened security protections.
Submitting an inquiry, business concept, product idea, partnership proposal, or other information through a general contact channel does not, by itself, create a duty of confidentiality.
If confidential treatment is necessary, contact ArqaOne first so that the parties can determine whether a nondisclosure agreement, business associate agreement, data processing agreement, secure transfer process, or other appropriate arrangement is required.
ArqaOne may independently work on or encounter ideas, technologies, business models, research questions, or opportunities similar to those submitted by others. The mere similarity between a submitted concept and current or future ArqaOne work does not establish that ArqaOne used or misappropriated the submitted concept.
17. Privacy
ArqaOne's collection and use of personal information associated with the Website is described in the ArqaOne Privacy Notice, which is incorporated into these Terms by reference.
The Privacy Notice may be updated from time to time to reflect changes in the Website, ArqaOne's operations, applicable law, or data practices.
18. Electronic Communications
If you contact ArqaOne electronically, you consent to receiving communications reasonably necessary to respond to your inquiry or conduct the requested business discussion.
Contacting ArqaOne does not, by itself, constitute consent to receive unrelated marketing communications where separate consent is required by applicable law.
Electronic communications may not always be secure. You are responsible for using an appropriate method of communication when transmitting sensitive information.
19. External Websites and Links
The Website may contain links to websites, applications, publications, government resources, vendors, partners, products, or other resources operated by third parties.
External links are provided for convenience or reference.
ArqaOne does not control third-party websites and is not responsible for their availability, accuracy, security, content, privacy practices, products, services, or terms.
Your use of a third-party website is governed by that third party's applicable terms and policies.
20. Website Availability and Security
ArqaOne may modify, suspend, remove, restrict, or discontinue any portion of the Website at any time.
ArqaOne does not guarantee that the Website will always be available, uninterrupted, secure, or error-free.
Although ArqaOne may implement reasonable security practices, no internet-based system can be guaranteed to be completely secure.
You are responsible for maintaining appropriate safeguards on devices and networks used to access the Website.
21. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
ARQAONE DISCLAIMS ALL WARRANTIES REGARDING THE WEBSITE, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
ARQAONE DOES NOT WARRANT THAT:
- THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE;
- WEBSITE CONTENT WILL ALWAYS BE CURRENT, COMPLETE, OR ACCURATE;
- ANY PARTICULAR RESULT WILL BE ACHIEVED FROM RELIANCE ON WEBSITE CONTENT;
- THE WEBSITE WILL BE FREE OF HARMFUL COMPONENTS; OR
- THIRD-PARTY SERVICES OR LINKS REFERENCED ON THE WEBSITE WILL REMAIN AVAILABLE OR OPERATE AS DESCRIBED.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
22. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARQAONE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE WEBSITE OR ITS CONTENT.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR ANTICIPATED SAVINGS ARISING FROM WEBSITE USE.
TO THE FULLEST EXTENT PERMITTED BY LAW, ARQAONE'S AGGREGATE LIABILITY FOR CLAIMS ARISING EXCLUSIVELY FROM ACCESS TO OR USE OF THE PUBLIC WEBSITE OR ITS CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This limitation applies only to claims arising from the Website and Website content.
Liability relating to consulting services, software development, professional engagements, products, partnerships, or other contractual relationships is governed by the agreement applicable to that relationship and not by this Website liability limitation.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
23. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ArqaOne LLC and its members, officers, employees, contractors, representatives, and agents from third-party claims, damages, losses, liabilities, and reasonable costs arising from:
- your unlawful or unauthorized use of the Website;
- your material violation of these Terms;
- materials you submit in violation of another person's rights; or
- your infringement or misappropriation of another person's intellectual property, privacy, or other legal rights.
ArqaOne reserves the right to control the defense of any matter subject to indemnification, in which case you agree to reasonably cooperate with the defense.
24. International Access
ArqaOne is based in Minnesota, United States.
The Website may be accessible from jurisdictions outside the United States, but accessibility does not mean that ArqaOne offers services in every jurisdiction or that Website content is appropriate under every country's laws.
Visitors accessing the Website from outside the United States are responsible for complying with laws applicable to them.
ArqaOne reserves the right to determine the jurisdictions in which it will conduct business or provide professional services.
25. Changes to the Website and These Terms
ArqaOne may update these Terms to reflect changes in its Website, operations, business structure, legal requirements, or practices.
When these Terms are updated, the “Last Updated” date at the top of the page will be revised.
Updated Terms become effective when posted unless otherwise stated.
Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
26. Governing Law
These Terms and disputes arising from or relating to the Website will be governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
Subject to any rights that cannot lawfully be waived, disputes arising exclusively from use of the Website will be brought in a court of competent jurisdiction located in Minnesota.
Nothing in this section changes the governing-law or dispute-resolution provisions contained in a separate agreement between ArqaOne and a client, partner, vendor, or other counterparty.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.
The remaining provisions will remain in effect.
28. No Waiver
ArqaOne's failure to enforce a provision of these Terms does not constitute a waiver of that provision or of ArqaOne's right to enforce it later.
29. Assignment
You may not assign or transfer rights or obligations under these Website Terms in a manner that would materially affect ArqaOne without ArqaOne's consent.
ArqaOne may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or transfer of the Website or relevant business operations.
30. Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship, employment relationship, franchise, or other special relationship between a Website visitor and ArqaOne.
Any such relationship must arise under a separate agreement or applicable law.
31. Entire Agreement Regarding Website Use
These Terms, together with the Privacy Notice and any other policies expressly incorporated by reference, constitute the agreement between you and ArqaOne regarding use of the public Website.
They do not supersede or modify separate agreements relating to professional services, software, products, investments, ventures, partnerships, confidentiality, employment, contracting, or other business relationships.
